How to register offers
All other managed investment scheme offers under the Financial Markets Conduct Act 2013 (FMC Act) must be registered online, using the Disclose Register. This can be done either by the manager or by a third party acting on their behalf. To register an offer, you must be a registered user of the Disclose Register and have authority from the manager.
This section covers the process for registering an offer on the Disclose Register.
As well as the relevant scheme’s name and Disclose Register number, you’ll need information relating to the participants in the offer. A number of participants may be involved in an offer under the FMC Act.
For your offer to be registered on the date it’s submitted, the Registrar must receive your correctly completed application before 3pm NZT (business days). When an offer is received, the Registrar may accept, request more information or reject your application. If the Registrar receives your application before 3pm NZT (business days) you should receive notification of the decision the same day.
